User Services Agreement

[Agreement Changes] Travel Tao Limited may modify or update these terms and conditions at its discretion, and will post the revised terms and conditions on the website, and it is your responsibility to review these terms and conditions regularly. Your continued use of the Travel Tao Limited services following changes to the terms and conditions constitutes your agreement to such changes.
1. Definition
In this Agreement, the following terms shall have the following meanings:

1.2. "You": refers to the natural person or legal entity who has registered a Travel Tao Limited account on the Travel Tao Limited website to receive Travel Tao Limited services.

1.4. Buyer: means the person or entity who purchases Your Products from You or from the Marketplace.
1.5. Market: refers to the e-commerce platform or other trading place approved by Travel Tao Limited, and you have an agreement relationship with the market and you are the seller or the agent of the seller in the market.
1.6. Transaction collaborator: refers to a third party that provides auxiliary services to help you complete the transaction, and you are the purchaser of the service, such as a third-party collection agent who accepts your entrustment to provide you with collection services.
1.7. Remittance of funds: refers to the funds that Travel Tao Limited's service providers receive from buyers, markets or transaction partners.
1.8. Travel Tao Limited account: refers to the unique Travel Tao Limited service account established for you for your registration and continued use of Travel Tao Limited services, which is not a bank account. Travel Tao Limited accounts include customer information, market store information, transaction history and other relevant information for customers using Travel Tao Limited services.
1.9. Travel Tao Limited collection account: refers to the bank operation account that Travel Tao Limited applies to the service provider in your name as your agent for the limited purpose of receiving inward funds, and you authorize Travel Tao Limited to implement the purpose of this agreement to The service provider issues a funds transfer instruction. The function of this account is limited to the completion of the services described in this agreement, and it does not have the functions that a general bank account should have such as cash withdrawal and consumption , and this account can only receive inward funds for limited purposes; the existence of this account is determined by this agreement. 1.10. Customer bank account: refers to your bank account set in your Travel Tao Limited account to receive settlement funds via Travel Tao Limited services. You clearly understand that when this agreement is terminated, the balance in the beneficiary account will be forcibly settled to the customer's bank account.
1.11. Service provider: Refers to financial institutions and third-party service organizations and its branches in other countries or regions that cooperate with Travel Tao Limited to complete the service content of this agreement and perform regulatory duties.
1.12. Travel Tao Limited Services: Refers to the foreign currency collection and settlement solutions, relevant transaction information reports and other services provided by Travel Tao Limited in accordance with this Agreement.
1.13. Travel Tao Limited website: refers to www.xCurrency.com
1.14. Fees/Charges: Refers to the fees you pay for using Travel Tao Limited services.
2. Scope of agreement
2.1. Contract subject
2.1.1. This agreement is jointly signed by you and the operator of Travel Tao Limited. This agreement has contractual effect on both you and the operator of Travel Tao Limited.
2.1.2. According to the currency you want to use the Travel Tao Limited service to receive the inward funds, the Travel Tao Limited service provider corresponds to the currency. For details, see the list of service providers published on the Travel Tao Limited website. Travel Tao Limited is not a bank, financial institution, fund transfer institution, or other form of capital service organization. It only provides you with foreign currency collection and settlement solutions, relevant transaction information reports and other services in accordance with this agreement.

2.2. Although the service provider is not the contracting subject of this agreement, you agree that the service provider can claim relevant rights against you in accordance with the terms of this agreement.
2.3. Due to the rapid development of the Internet, the terms listed in this agreement signed by you and Travel Tao Limited cannot fully list and cover all the rights and obligations between you and Travel Tao Limited, and the existing agreement cannot guarantee that it will fully meet the needs of future development. Therefore, Travel Tao Limited’s legal The statement and privacy policy are supplementary agreements to this agreement, which are inseparable from this agreement and have the same legal effect. If you use Travel Tao Limited services, you are deemed to agree to the above supplementary agreement.
3. Travel Tao Limited account registration and use
3.1. Registration Qualifications
3.1.1. You confirm that before you start the registration process to use Travel Tao Limited services, you should have the civil capacity that is compatible with your behavior as stipulated by the laws of the country/region where you are located. If you do not have the aforementioned capacity for civil conduct appropriate to your behavior, you and your guardian shall bear all consequences arising therefrom in accordance with the law.
3.2. Registration Instructions
3.2.1. You can apply for the use of Travel Tao Limited services through the Travel Tao Limited website. You need to provide Travel Tao Limited with all the information required to open a Travel Tao Limited account, and Travel Tao Limited will provide you with a Travel Tao Limited collection account after approval.
3.2.2. In order to improve Travel Tao Limited's own service quality and comply with relevant laws and regulations and the requirements of Travel Tao Limited service providers, Travel Tao Limited has the right to ask you to provide additional information to obtain, verify, record and identify your information, including but not Shareholder information limited to companies registered for Travel Tao Limited accounts. You agree to keep updating your information in your Travel Tao Limited account.
3.2.3. If you register for Travel Tao Limited services on behalf of an enterprise or commercial entity, you must obtain legal authorization to agree to this Agreement in accordance with the formation documents of the enterprise or entity and/or applicable laws.
3.2.4. Travel Tao Limited may use confidential means to verify your registration information with a third-party database.
3.2.5. Travel Tao Limited will notify you that you have opened a Travel Tao Limited account by email, WeChat, SMS and other electronic data, and will also provide you with your Travel Tao Limited collection account in the electronic data. You are unique.
3.3. Account information management
3.3.1. You understand and agree that you are obliged to maintain the authenticity and validity of the information you provide.
3.3.2. You should update the information you provide in a timely manner. When the law clearly requires that the information of some users must be verified, Travel Tao Limited will check and verify your information from time to time in accordance with the law. You should cooperate to provide the latest , true and complete information. If Travel Tao Limited fails to contact you based on the information you provided last time, you fail to provide information in a timely manner as required by Travel Tao Limited, or the information you provide is obviously false, you will bear adverse consequences such as account deactivation.
3.3.3. You must take all reasonable steps to keep your Travel Tao Limited account username and password safe at all times and never disclose this information to anyone. You should notify Travel Tao Limited immediately of any illegal use of your Travel Tao Limited user name and password. If you allow others to access your Travel Tao Limited account to use Travel Tao Limited services , Travel Tao Limited will be deemed to have authorized such use by you, and you will be responsible for the transactions and fees arising from such use.
4. Travel Tao Limited service
4.1. After the registration is successful, Travel Tao Limited will provide you with your Travel Tao Limited collection account, and you agree that Travel Tao Limited, as your agent, opens a bank account with the service provider, and agrees to the definition of Travel Tao Limited collection account in Article 1.8 of this agreement.
4.2. You need to provide your Travel Tao Limited collection account to the buyer, market or transaction collaborator you wish to receive payment from. When you provide your Travel Tao Limited receiving account to the buyer, market or trading partner, you agree that the money remitted to the Travel Tao Limited receiving account will only be used for settlement to the customer's bank account.
4.3. The Travel Tao Limited service only accepts the inward funds transferred to the Travel Tao Limited collection account by the buyer, market or transaction collaborator approved by Travel Tao Limited. Travel Tao Limited Collection Accounts accept incoming funds in the form of cash, credit card payments, wire transfers, or checks. However, Travel Tao Limited service's acceptance of remitted funds is limited to the purpose of payment with real and legal transaction background. You may not transfer, pledge or otherwise dispose of your rights in the Travel Tao Limited service with the funds to a third party in violation of this agreement. The Travel Tao Limited collection account is only used to achieve the purpose of this agreement, and you waive the right to claim interest on the funds in the account, and acknowledge that this right is enjoyed by Travel Tao Limited.
4.4. Travel Tao Limited will truly reflect the remittance amount in your Travel Tao Limited receiving account in your Travel Tao Limited account, and you can view and manage transaction activities online through your account on the Travel Tao Limited website.
4.5. In order to complete the settlement of your inward funds to your customer's bank account, you need to log in to your Travel Tao Limited account and apply for fund settlement. Your settlement application should comply with Travel Tao Limited's transaction rules. When you initiate a settlement application in your Travel Tao Limited account, Travel Tao Limited will submit your application to the service provider, and the service provider or its currency branch will complete the foreign exchange settlement, and finally the funds will reach the customer's bank account. If you need to settle funds to a third-party account other than the customer's bank account based on real, legal, and convenient transaction purposes, you need to complete the corresponding operations in accordance with Travel Tao Limited's transaction rules and service methods. At this time, the third-party account is deemed Your client bank account, the settlement of funds is also subject to this Agreement. According to applicable laws and relevant policies, Travel Tao Limited and service providers will conduct necessary real transaction background checks on the settlement initiated by you, and you need to submit or allow Travel Tao Limited to collect your transaction records as the basis for review. You may not apply to settle funds to any client bank account that does not belong to you, except as otherwise agreed in this Agreement. If funds are sent to the wrong bank account as a result of you providing inaccurate payment information, Travel Tao Limited will take reasonable steps to assist you in tracing and, where possible, recovering that amount, but Travel Tao Limited will not be liable for any amounts that cannot be recovered , and the costs incurred during the tracking or recovery process shall be borne by you.
4.6. Travel Tao Limited will bill your client bank account for the amount chosen by you less any applicable charges. Travel Tao Limited is not responsible for any charges to your client bank account.
4.7. Travel Tao Limited cannot control the time when the funds arrive in the customer's bank account. According to the service provider's process, it usually takes 1 to 3 working days from when you initiate settlement to when the settlement funds arrive in the customer's bank account. If funds are not received in the client's bank account within 3 working days, Travel Tao Limited will initiate an internal investigation on your behalf when you apply.
4.8. When Travel Tao Limited or the service provider determines that the settlement will violate the applicable laws, this agreement or expose Travel Tao Limited and the service provider to excessive security, financial or reputation risks (including but not limited to receiving court or government notices, receiving Notice of the obligee about the security crisis of the Travel Tao Limited account or the discovery of abnormal operations in the Travel Tao Limited account, transaction records
If the transaction involved has been determined to be fraudulent or other violations of laws and regulations, or the qualification of the Travel Tao Limited account owner has been confirmed to have been lost), the funds can be temporarily frozen or the return procedure can be carried out according to the original route; if your funds are frozen, you can follow the Travel Tao Limited account If you fail to appeal or do not appeal within the time limit of the rules, Travel Tao Limited will report to the government, and the frozen funds do not rule out the possibility of being confiscated in accordance with applicable laws.
5. Charge
5.1. Travel Tao Limited has notified its fee schedule on the Travel Tao Limited website and in your Travel Tao Limited account. Travel Tao Limited may change the Travel Tao Limited service charges at its own discretion from time to time, and will notify you through website announcements at that time.
5.2. The charging standard does not include the fees charged by Travel Tao Limited service providers or other special service providers.
5.3. Travel Tao Limited will still charge you if funds are sent to the wrong bank account or are declined due to you providing inaccurate payment information.
5.4. You are solely responsible for reporting all funds received to all applicable government tax authorities for payment of any applicable taxes.
6. User information protection
6.1. Travel Tao Limited has implemented commercially reasonable administrative and technical procedures to prevent accidental loss and illegal access, use or disclosure of your personal information. However, Travel Tao Limited cannot guarantee that unauthorized third parties will never be able to breach these measures or use such personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
6.2.Travel Tao Limited's protection of your information mainly includes (a) information when you register; (b) records of fund receipts and payments in your collection account; (c) your transaction records in the market that you submit or allow Travel Tao Limited to collect.
6.3. You agree to allow Travel Tao Limited to share information about you (a) with current or future service providers; (b) for regulatory purposes; and (c) as required by law, legal process, or court order. It includes (a) sharing information about your transactions for regulatory and compliance purposes; (b) sharing information in order to use Travel Tao Limited services; and (c) sharing information in order to implement Travel Tao Limited's compliance and risk management procedures.
6.4. You agree that Travel Tao Limited collects, stores, uses, discloses and protects your personal information in accordance with the privacy policy published on the Travel Tao Limited website. Travel Tao Limited hopes to clearly introduce to you how Travel Tao Limited handles your personal information through the Privacy Policy, so Travel Tao Limited recommends that you read the Privacy Policy in its entirety to help you better protect your privacy.
7. Limitation of Liability
7.1. Neither Travel Tao Limited nor the Service Providers are responsible for the Buyer or the Marketplace or for any Products or any other part of your business. Responsibility for your products, buyers and markets rests entirely with you, including but not limited to:
(a) The products you sell should meet the quality standards stipulated by the laws of the exporting country and/or the importing country, established by the market, and agreed in the transaction records; (b) You should fulfill the product quantity, delivery time and location, quality assurance, after-sales obligations, etc.; (c) The products you sell should have documents that can prove that the rights are legal and valid, and there is no infringement or infringement of any third-party intellectual property rights; (d) Others caused by your sales behavior and you shall indemnify Travel Tao Limited or the service provider for any claim brought by anyone against Travel Tao Limited or the service provider, so that Travel Tao Limited or the service provider shall not be harmed by it, and you agree to waive the Travel Tao Limited or service provider Any document signed by the service provider with you to complete the service content of this agreement is the right of defense.
7.2. Travel Tao Limited is responsible for providing the Travel Tao Limited service to you "as is" and "as available". Travel Tao Limited undertakes basic guarantee obligations in accordance with the law, but cannot be liable for damages caused to you by the following circumstances that are not foreseeable or controlled by Travel Tao Limited: information network equipment maintenance or connection failures, computer, communication or other system failures, power Malfunctions, strikes, riots, fires, floods, storms, explosions, wars, government actions, orders from judicial administrative agencies, third-party damage, etc.
7.3. Travel Tao Limited or its service providers will not be liable for:
(a) any special, incidental or consequential damages; (b) the cost of obtaining a substitute product or service; (c) interruption of use or loss or damage to data; (d) an amount exceeding
the twelve ( 12) The portion of the fee paid to Travel Tao Limited during the month.
7.4. Travel Tao Limited shall not be liable for any non-performance or delay caused by circumstances beyond its reasonable control.
7.5. You hereby release Travel Tao Limited from responsibility for the money from the moment it is remitted to the client's bank account.
7.6. All provisions of this section shall survive termination of this Agreement.
8. Compensation
8.1. You agree to indemnify Travel Tao Limited and its service providers and their respective directors, executives, employees and agents for all claims and expenses (including attorneys'fees) arising from your use of Travel Tao Limited services, and hold them harmless , including without limitation your breach of this Agreement.
8.2. If you suffer losses due to the fault of Travel Tao Limited during the use of Travel Tao Limited services, you may claim compensation from Travel Tao Limited in accordance with this Agreement.
9. Warranty
9.1. You represent and warrant that (i) you will strictly abide by our privacy policy, this agreement and all applicable laws and regulations (including but not limited to the regulations on online behavior and acceptable content in your country, state, city or other governmental regions) any local laws or regulations, including all applicable laws regarding the transfer of technical information exported from a foreign country or your country) use of the Travel Tao Limited Services, and (ii) your use of using Travel Tao Limited services will not infringe or infringe any third party's intellectual property rights.
10. Agreement changes
10.1.Travel Tao Limited may revise this Agreement and Supplementary Agreement from time to time in accordance with legal changes, maintenance of transaction order, protection of user rights and its own business needs. 10.2. If you do not agree to the changes that have taken effect, you should stop using Travel Tao Limited services from the effective date of the changes, and the changes will not be effective for you; if you continue to use Travel Tao Limited services after the changes take effect , it is deemed that you agree to the changes that have taken effect. However, any dispute arising prior to the change shall be resolved in accordance with the terms applicable at the time the dispute arose (including a separate binding arbitration clause).
11. Termination of Agreement
11.1. Travel Tao Limited may terminate your use of all or any part of the Travel Tao Limited Services at any time with or without notice, with or without reason, with immediate effect.
11.2. If you wish to terminate this agreement or your Travel Tao Limited account, you only need to stop using the Travel Tao Limited service.
11.3. If your Travel Tao Limited account has not been used for six (6) months and we are unable to contact you, Travel Tao Limited will assume that you have stopped using it.
11.4. All provisions of this Agreement which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification and limitations of liability.
11.5. Processing after the termination of the agreement
11.5.1. Travel Tao Limited will forcefully settle the balance in your Travel Tao Limited collection account to the customer's bank account, and then the Travel Tao Limited collection account will be deactivated, and you acknowledge this.
11.5.2. Travel Tao Limited has the right to continue to save your account information.
12. Intellectual property rights
12.1. Unless otherwise agreed in writing by Travel Tao Limited, all intellectual property rights and other related rights (including but not limited to Trademark rights, patent rights, copyrights, trade secrets, etc.) are owned by Travel Tao Limited, and no one may use them in any form without the permission of Travel Tao Limited.
13. Other
13.1. This agreement constitutes the complete agreement between Travel Tao Limited and you on the subject matter, and this agreement can only be modified after an authorized executive of Travel Tao Limited signs a written modification document or Travel Tao Limited releases a modified version of the document. No waiver by either party of any term or condition of this Agreement or of a breach of such term or condition in any event shall constitute a waiver of such term or condition or of any subsequent breach of such term or condition.
13.2. You are prohibited from assigning your rights under this Agreement to any third party without the consent of Travel Tao Limited; Travel Tao Limited may transfer its rights under this Agreement unconditionally, and this Agreement will be binding on the assignee of Travel Tao Limited.
14. Applicable law, jurisdiction and others
14.1. The conclusion, entry into force, interpretation, revision, supplement, termination, enforcement and dispute resolution of this agreement shall be governed by the laws of the location where the operator of Travel Tao Limited corresponds to this agreement, and shall be arbitrated by Hong Kong.
14.2. If any provision of this agreement is deemed to be repealed, invalid or unenforceable, that provision shall be deemed separable and shall not affect the validity and enforceability of the remaining provisions of this agreement.
